Official Rules (the “Official Rules”) for the SKECHERS Win a $1,000.00 Shopping Spree Sweepstakes (the “Sweepstakes”):

NO PURCHASE IS NECESSARY TO ENTER or win THE SWEEPSTAKES.  Purchase will not enhance your chances of winning.  ONLY U.S. RESIDENTS 18 years of age or older may enter.  void in rhode island and where prohibited BY LAW.

PRIVACY NOTICE.  You are providing personally identifiable information at the Sweepstakes registration page.  By entering the Sweepstakes you are agreeing to provide registration information to SKECHERS USA, Inc. (“Sponsor”) as Sponsor of the Sweepstakes and ValueClick Media (“Administrator”) as the Administrator of the Sweepstakes.  In addition, provided you do not opt-out at the time of entry, you also consent to receive, from time to time, additional promotional materials by e-mail and to your mobile phone from Sponsor.  All personally identifiable information that is submitted in connection with the Sweepstakes shall become the property of Sponsor.  Please visit http://shop.skechers.com/corporate/privacy/default.jskx to review Sponsor’s privacy policy in order to see how they treat personally identifiable information.  In addition, Administrator will have access to your personally identifiable information as the company responsible for administering the Sweepstakes on behalf of Sponsor and will use such information solely as approved by Sponsor.  Please visit http://www.valueclickmedia.com to review Administrator’s privacy policy.

Term.  From June 9, 2008 through July 31, 2008, Sponsor will conduct an online Sweepstakes allowing eligible individuals to enter to win the prize set forth below.  Only one entry per person and/or per e-mail address will be accepted for the duration of the Sweepstakes.  False or deceptive entries or acts will render the entrant ineligible.  All entries become the property of Sponsor and will not be returned.  Deadline to enter is 11:59 p.m. (EST), July 31, 2008.

Eligibility.  You are eligible to enter the Sweepstakes if you are:  (1) A LEGAL RESIDENT OF THE 50 UNITED STATES (EXCLUDING RI) AND THE DISTRICT OF COLUMBIA; (2) 18 YEARS OLD OR OLDER AT TIME OF ENTRY and have Internet access prior to the start of the Sweepstakes; (3) ARE NOT AN EMPLOYEE (or an employee’s immediate family and household member) of Sponsor or Administrator, or their respective parent companies, subsidiaries or affiliates, or an AGENT, AFFILIATE, OFFICER OR DIRECTOR OF SPONSOR OR OF ANY ADVERTISER, PROMOTION AGENCY, FULFILLMENT AGENCY, OR AGENT OF SPONSOR; AND (4) ARE HUMAN – ANY USE OF ELECTRONIC DEVICES TO ENHANCE OR ALTER YOUR ODDS OF WINNING WILL AUTOMATICALLY DISQUALIFY YOU.  VOID IN ALL OTHER AREAS NOT MENTIONED ABOVE AND WHEREVER PROHIBITED BY LAW.  SWEEPSTAKES IS SUBJECT TO ALL FEDERAL, STATE AND LOCAL LAWS AND REGULATIONS.  Sponsor may require winner to provide proof that he or she is the authorized account holder of the e-mail address used to enter the Sweepstakes.  “Authorized account holder” is defined as the natural person who is assigned to an e-mail address by an Internet service provider, online service provider, or organization (e.g., business, educational institution, etc.) that is responsible for assigning e-mail addresses for the domain associated with the e-mail address.  Any winner who does not comply with the Official Rules will be disqualified.  Return of any prize or prize notification as “undeliverable” will result in disqualification and an alternate winner may be selected.  Ineligible entrants may be disqualified at any time at the sole discretion of Sponsor.

Entry.  BY ENTERING THE SWEEPSTAKES, PARTICIPANTS UNCONDITIONALLY AGREE TO ACCEPT AND BE BOUND BY ALL TERMS OF THESE OFFICIAL RULES AND THE DECISIONS OF SPONSOR AND ADMINISTRATOR AND WAIVE ANY RIGHT TO CLAIM AMBIGUITY IN THE SWEEPSTAKES OR THESE OFFICIAL RULES.  To enter the Sweepstakes, individuals must fill out and submit the information requested online at the Sweepstakes entry page.  Provided that you elect to receive promotional materials by e-mail and/or to your mobile phone from Sponsor at the time of registration, you may, at any time, opt-out of receiving such promotional materials by following the opt-out instructions contained in the e-mail or mobile message you receive from Sponsor.  Opting-out does not affect a participant’s eligibility to enter or win.  Entries will not be accepted by postal mail.

How to Win.  One (1) winner will be randomly chosen by Administrator on or about August 1, 2008, from all eligible entries received during the dates specified above.  The decisions of the Administrator will be final and binding.  The odds of winning will depend on the total number of eligible entries received.  The winner will be notified by e-mail within five (5) days of the drawing and must meet all eligibility requirements, including the execution and return of all necessary affidavits and releases.

Prize.  One (1) winner will receive an online credit worth one thousand dollars (1,000.00 USD) towards the purchase of merchandise on www.skechers.com.  Winner may not redeem the $1,000.00 credit in tandem with any other discount offers, coupons, gift certificates, etc.  Winner will be chosen randomly from among all valid entries received during the term of the Sweepstakes.  Winner is not entitled to any alternative prizes and the prize is not nontransferable.  Winner is responsible for reporting and payment of all taxes (including federal, state and local, if any) and costs on account of the prize.  Sponsor reserves the right to substitute any portion of the prize for a prize of equal or greater value.

General Conditions.  Winner may be required to complete IRS Form W-9 and provide a copy of his or her social security card and driver’s license for tax reporting purposes, sign affidavits of eligibility, liability releases and, except where prohibited by law, publicity releases, and return these documents within three (3) days of issuance of notification.  In the event that (i) such documents are not provided and such affidavits and releases are not signed, (ii) any prize or prize notification is returned as undeliverable, or (iii) the winner declines or fails to properly claim his or her prize within three (3) days of notification, then that winner will be disqualified and an alternate winner may be selected by random drawing at Sponsor’s and Administrator’s sole discretion.  Sponsor and Administrator each expressly disclaim any responsibility and each participant hereby agrees to release and to hold Sponsor and Administrator and their respective employees, officers, directors, shareholders, parent companies, agents, marketing partners, and affiliates, harmless from and against any and all losses, damages, rights, claims, and actions of any kind in connection with the Sweepstakes or resulting from the delivery, acceptance and/or subsequent use or misuse of any prize awarded, including without limitation, personal injury, death and property damage, and claims based on publicity rights, defamation or invasion of privacy.  Administrator and Sponsor, and each of their respective parents, subsidiaries, franchisees, participating vendors, distributors, marketing partners, and affiliated entities are not responsible for (i) any condition caused by events beyond the control of Sponsor or Administrator that may cause the Sweepstakes to be disrupted or corrupted, (ii) any injuries, losses or damages of any kind caused by a prize or resulting from acceptance, possession, use, or misuse of a prize, or from participation in the Sweepstakes, or (iii) any printing or typographical errors in any materials associated with the Sweepstakes.  Any entry that fails to provide all required information will be disqualified.  Administrator and Sponsor are not responsible for and shall not be liable for (i) late, lost, delayed, damaged, misdirected, incomplete, illegible, or unintelligible entries, (ii) telephone, electronic, hardware, or software program, network, Internet, or computer malfunctions, failures, delays or difficulties, (iii) errors in transmission, or (iv) prize deliveries attempted but not received.  All entries must be submitted in the name of an individual person and the prize can only be awarded to the person whose name is on the winning entry.  No mechanical reproductions or facsimiles of entries accepted.  Participants may not enter using multiple e-mail addresses or as multiple participants.  Any participant who attempts to enter with multiple e-mail addresses or under multiple identities, or uses any other device to enter multiple times will be disqualified.  Sponsor and Administrator reserve the right, jointly and severally, to cancel or suspend the Sweepstakes should virus, bugs, unauthorized human intervention, or other causes beyond the control of Sponsor or Administrator, in their sole opinion, corrupt the administration, security, fairness, integrity, or proper operation of the Sweepstakes or for any other reason at the sole discretion of Sponsor and Administrator.  In the event of cancellation, Sponsor and Administrator may, in their sole discretion, elect to award the prize to a winner randomly drawn from among all participants who had validly entered the Sweepstakes at the time of such cancellation.

  8. Construction.  All issues and questions concerning the construction, validity, interpretation, and enforceability of these Official Rules, or the rights and obligations of any participant and Administrator and Sponsor, shall be governed by, and construed in accordance with the laws of the State of California, without giving effect to any choice of law or conflict of law rules or provisions (whether of California or any other jurisdiction) that would cause the application of the laws of any jurisdiction other than California.  All claims relating to the Sweepstakes must be brought in the federal or state courts located in Los Angeles, California, which shall have exclusive jurisdiction and venue over such claims.  The invalidity or unenforceability of any provision of these Official Rules shall not affect the validity or enforceability of any other provision.  If any such provision is determined to be invalid or otherwise unenforceable, these Official Rules shall be construed in accordance with their terms as if the invalid or unenforceable provision was not contained therein.
